These Terms of Service ("Terms") govern your access to and use of WFM, a software service operated by ИП ООО "ROYA BEAUTY" ("ROYA", "WFM", "we", "us", or "our"), available at https://test.roya.uz.

By accessing or using WFM, you agree to these Terms.

1. About WFM

WFM is a software service that allows businesses and creators to connect Instagram professional accounts, view inbound Instagram direct messages, and use related workspace and diagnostic tools.

2. Eligibility and Authority

You may use WFM only if:

  • you have reached the minimum age required by applicable law and Meta / Instagram rules;
  • you are legally able to enter into a binding agreement;
  • you are authorized to connect and manage the Instagram professional account and any related business assets used with WFM.

If you use WFM on behalf of a company, brand, agency, or other organization, you represent and warrant that you have authority to bind that organization to these Terms.

3. User Accounts

You are responsible for:

  • keeping your login credentials confidential;
  • restricting access to authorized persons only;
  • ensuring that your account and workspace information is accurate;
  • activities that occur under your account or workspace, to the extent permitted by law.

4. Connected Instagram Accounts and Meta Compliance

Certain features of WFM require you to authenticate through Meta / Instagram and grant permissions to WFM.

By connecting an Instagram professional account, you authorize WFM to receive and process the data and permissions necessary to provide the requested functionality.

You remain responsible for complying with all applicable Meta, Instagram, and other third-party platform terms, policies, and rules.

WFM is an independent service and is not sponsored, endorsed, or administered by Meta or Instagram, except through permitted integrations.

5. Permitted Use

You may use WFM only for lawful business purposes and in accordance with these Terms.

You may not:

  • use WFM in violation of law, regulation, or third-party rights;
  • send or facilitate unlawful, deceptive, harassing, abusive, or spam communications using data obtained through WFM;
  • attempt to gain unauthorized access to WFM, its infrastructure, or another user’s account;
  • interfere with, disrupt, reverse engineer, or circumvent the security or technical protections of WFM;
  • use WFM in a way that may place connected Instagram or Meta assets at risk of suspension, restriction, or violation.

6. Your Data and Permissions

You retain ownership of the data you submit to WFM or make available through your use of WFM.

You grant WFM a limited, non-exclusive right to host, store, process, transmit, and display such data only as necessary to operate, secure, support, and improve WFM and to comply with legal and platform obligations.

You represent and warrant that you have all rights, permissions, and lawful bases needed for:

  • your use of WFM;
  • the connection of any Instagram professional account;
  • the processing of any data made available through your use of WFM.

7. Privacy

Your use of WFM is also governed by the WFM Privacy Policy, which explains how personal data is collected, used, stored, and deleted.

8. Third-Party Services

WFM may depend on third-party services, including Meta, Instagram, hosting providers, and other technical service providers.

We are not responsible for the availability, content, acts, omissions, or policies of third-party services.

9. Service Availability and Changes

We may modify, update, suspend, or discontinue any part of WFM at any time.

We do not guarantee uninterrupted, secure, or error-free operation at all times.

Some features may be changed, limited, or removed due to platform changes, technical constraints, legal requirements, or product decisions.

10. Fees

Unless otherwise agreed separately in writing, WFM may be offered on a free, trial, pilot, or paid basis.

If paid access is introduced or agreed, the applicable pricing and billing terms will be communicated separately.

11. Suspension and Termination

We may suspend or terminate access to WFM immediately if we reasonably believe that:

  • these Terms have been breached;
  • there is misuse, fraud, or a security risk;
  • continued access may expose WFM, users, or third parties to harm or liability;
  • a connected third-party platform restricts or removes the required access.

You may stop using WFM at any time.

Upon termination, your right to use WFM ends immediately. Provisions that by their nature should survive termination will remain in effect.

12. Intellectual Property

WFM, including its software, interfaces, branding, documentation, and related materials, is owned by ИП ООО "ROYA BEAUTY" or its licensors and is protected by applicable intellectual property laws.

Except for the limited right to use WFM under these Terms, no license or ownership right is granted to you.

13. Disclaimer

To the maximum extent permitted by law, WFM is provided "as is" and "as available".

We disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that WFM will always be uninterrupted, secure, or error-free.

14. Limitation of Liability

To the maximum extent permitted by law, ИП ООО "ROYA BEAUTY" will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, revenue, goodwill, data, or business opportunities arising out of or related to WFM.

Our total aggregate liability arising out of or relating to WFM will not exceed:

  • the total amount paid by you to us for WFM during the 12 months preceding the event giving rise to the claim; or
  • USD 100, if no fees were paid.

15. Indemnification

You agree to indemnify and hold harmless ИП ООО "ROYA BEAUTY", its affiliates, personnel, contractors, and service providers from claims, losses, liabilities, damages, and expenses arising out of:

  • your misuse of WFM;
  • your breach of these Terms;
  • your violation of law or third-party rights.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Uzbekistan, without regard to conflict-of-law principles.

Any dispute arising out of or in connection with these Terms or WFM will be subject to the exclusive jurisdiction of the courts of Tashkent, Uzbekistan, unless applicable law requires otherwise.
